Department Overview

The TD Legal Corporate & Subsidiary Governance Team (CSG) contributes to TD's compliance with regulatory obligations and best practices in corporate governance. In this Law Clerk, Subsidiary Governance (SG) role, you will join a dynamic and collegial team of legal professionals on the CSG Team which manages a wide range of corporate governance and corporate secretarial activities and other strategic initiatives designed to help ensure proper risk and control oversight of TD's subsidiaries.

Based in Toronto, the Law Clerk, SG role provides dedicated law clerk support to the team's lawyers and managers and works with other team members to help manage subsidiary governance and regulatory obligations. The role provides an opportunity for exposure to stakeholders and leaders both within TD Legal and across the enterprise.

Job Description

Working with a team of lawyers and law clerks, you will:

  • Be responsible for maintaining the Minute Books for certain Canadian subsidiaries.

  • Efficiently manage and coordinate subsidiary board meetings by acting as the primary contact for subsidiary directors and senior management on the preparation of meeting agendas and materials, producing materials for presentation to subsidiary boards, and attending board meetings to take and prepare minutes.

  • Independently prepare resolutions, certificates, notices and other corporate documentation such as for incorporations, amalgamations, dissolutions and other corporate transactions.

  • Prepare or review technical requirements for corporate regulatory filings.

  • Manage Regulatory Compliance Management (RCM) requirements for SG.

  • Manage the collection and organization of documents and information in response to regulatory requests and audits relating to SG.

  • Keep GEMS current for their subsidiaries' corporate information.

  • Independently and effectively handle and prioritize numerous ongoing responsibilities and tasks, including those that may be complex or higher risk, appropriately meeting deadlines.

  • Respond to various requests and deal with issues from business lines or corporate functions, identifying an appropriate course of action to efficiently handle each situation.

  • Contribute to high priority TD Legal initiatives, including knowledge management and workflow improvement.

Job Requirements

  • Five (5) years of experience as a law clerk at a financial institution or law firm, preferable.

  • Law Clerk diploma, preferable.

  • Knowledge of legal concepts, principles, terminology, and corporate procedures.

  • Experience with GEMS (or similar entity management system) is an asset.

  • Proficient in software applications (i.e. Word, Excel, Adobe, and Outlook); familiarity with Tymetrix and TeamConnect is an asset.

  • Strong interpersonal and teamwork skills.

  • Strong verbal and written communication skills.

  • Ability to identify and focus on high value work.

  • Ability to work independently and as a member of a team.

  • Ability to work in a fast-paced, detail-oriented environment and manage multiple deadlines and priorities.

  • Highly organized with an eye for detail and accuracy.

  • Ability to deal effectively with executives within TD.

  • Ability to exercise discretion when handling sensitive and confidential matters.

  • Customer service and continuous improvement oriented.

  • High energy and enthusiastic.
