Job Description:

Department Overview:

The Office of the Corporate and Subsidiary Governance (CSG) within Legal Department contributes to the Bank's compliance with regulatory obligations and best practices in governance by managing corporate secretarial matters and processes relating to the Bank's Board and the Committees of the Board, Annual Meeting of Shareholders and other related meetings and events.

Job Description:

We are looking for a positive individual contributor to join our team in its goal to provide smooth and effective functioning of governance and control in the Office of the Corporate and Subsidiary Governance (CSG). Reporting to the Manager, Operations Governance, this position will work effectively and independently to fulfill the following key responsibilities:

  • Maintain and centralize all policies and processes owned by the Office of the CSG and ensure regular review cycles are being followed;

  • Enhance documentation of accountabilities, obligations, processes and controls;

  • Monitor the execution of the accountabilities of the CSG Team and ensure they satisfy approved policies and processes;

  • Oversee Issues Management from identification to resolution leveraging MERLIN;

  • Track policy listing of the Bank's Board and the Committees of the Board;

    • Lead and own responses to requests from Internal Audit, SOX, external third-party reviews, and regulators;

    • Lead on data management and document management solution for the CSG team;

    • Contribute to the ongoing development of the governance and control function in the CSG team by sharing information, knowledge, expertise and lessons learned on a regular basis; and

    • Perform any other tasks and projects required.

  • Ability to exercise discretion when handling sensitive and confidential matters; and

  • Proficient in Microsoft Office and familiarity with Diligent portal functionality as an asset.

Additional Information

  • Minimum 3-5 years' experience in a related role (e.g., governance and control, data management, or document management) at a major financial institution or public Canadian company as an asset;

  • Occasional overtime is required.
