Job Description:

Department Overview:

The TD Legal Corporate & Subsidiary Governance Team (CSG) contributes to TD's compliance with regulatory obligations and best practices in corporate governance. We are looking for an individual to manage TD's subsidiary database called GEMS (Global Entity Management System). Reporting to a CSG lawyer the Business Analyst works closely with TD Legal lawyers and Law Clerks, corporate secretarial teams globally, and internal stakeholders and partners to support CSG governance and control activities under the global subsidiary governance program.

Key Accountabilities include:

  • As GEMS Administrator, the Business Analyst will manage and oversee GEMS and its processes, controls and deliverables including verifications, attestations, tasks, workflows, reporting, subsidiary lists and organizational charts.

  • Maintain and oversee data integrity; conduct quality assurance and quality control activities to maintain data accuracy and completeness and action items, where necessary.

  • Create, update and archive corporate entity profiles in GEMS.

  • Review compliance trackers to confirm task completion.

  • Liaise with the TD Legal operations team to manage user access, disablement, and access rights.

  • Be the GEMS subject matter expert; onboard and train GEMS users.

  • Experience in the ability to design, generate and prepare reports or data extracts responsive to information requests to assist end-user analysis of information for projects, ad hoc requests or to meet legal or regulatory requirements.

  • Prepare, maintain and update procedures, checklists, action plans, job aids, etc. that support GEMS administration and user functionality.

  • Monitor and action requests, queries, GEMS updates, etc.

  • Maintain and update resource centers.

  • Identify and action continuous improvement initiatives using GEMS capabilities to support and enhance efficiencies and deliverables.

  • Coordinate with the vendor on initiatives, solutions and training, when required.

  • Contribute to high priority Legal Department initiatives, including knowledge management and workflow improvement.

Job Requirements:

  • Advanced proficiency in legal entity database capabilities such as GEMS or a similar database.

  • 3 years experience as a corporate law clerk at a financial institution, other large organization, or law firm is preferred.

  • Knowledge of legal concepts, principles, terminology, and corporate procedures.

  • Experience in the areas of legal, compliance, or governance and control is preferred.

  • Proven relationship management skills and a strong team player.

  • Must be highly organized and have excellent time management.

  • Creative in solutioning with a strong attention to detail.

  • Proficient in MS Office Applications (i.e. Word, Excel, Adobe, Outlook, PowerPoint)

  • Strong verbal and written communication skills.

  • Ability to work independently and as a member of a team.

  • Flexibility to quickly adapt to changing priorities and ability to work in a fast-paced, detail-oriented environment and manage multiple deadlines and priorities.

  • Ability to deal effectively with senior management within TD.

  • High energy and enthusiastic.
