Job Posting: Corporate Paralegal - (14-Month Maternity Leave Contract)

They are seeking a Corporate Paralegal for a 14-month contract role starting in mid-June 2025, with the possibility of becoming permanent. This role is integral to supporting their Corporate practice.
General ResponsibilitiesCorporate Records WorkMaintain physical company record books and corporate service department paper/digital client files (BC, federal, and EPRs).
Assist in converting physical records into virtual minute books (bulk digitization already complete).
Prepare various forms and documents from templates.
Maintain and update the ALF Corporate Records Database.
Prepare outgoing document packages and record books for courier delivery.
Handle phone calls and email inquiries.
Communicate directly with clients as needed.
Handle formation and governance matters for corporations (including not-for-profits) and partnerships.
Assist in preparing documentation for commercial transactions (e.g., mergers & acquisitions, joint ventures, changes in ownership or management, etc.).
Conduct due diligence review of corporate records and prepare rectification resolutions.
Perform and summarize various BC Online searches for due diligence.
Review minute books.
Edit and format correspondence, agreements, reports, forms, and spreadsheets.
Coordinate execution and collation of transaction documents using DocuSign.
Prepare digital closing books manually and via Closing Folders.
Support large-scale projects and transactions for the firm.
Provide ancillary support and time-off coverage for other paralegals as required.
Minimum 5 years' experience as a Paralegal in a law firm, with a focus on Business Law.
Experience in Securities and/or Real Estate Law is an asset.
Completion of an accredited Paralegal program.
Ability to handle files from start to finish with minimal supervision.
Strong technical and formatting skills with attention to detail.
Proficiency in software tools such as ALF, Microsoft Office Suite, Adobe, Workshare Compare, BC Online, DocuSign, MyLTSA.
Familiarity with PC Law and iManage is an asset.
Excellent organizational skills with the ability to prioritize a busy workload.
Professionalism in handling confidential matters and direct client communication.
Strong team player with excellent communication and interpersonal skills.
Business-minded approach to work with a high standard of client service.
Positive, proactive attitude with a “can-do” mindset.
This position reports to the Director of Operations & Talent and a Partner of the firm. Day-to-day instructions will come from various lawyers within the firm.
