Salary range: $199,000-$227,000 Canadian

Bonus: Bonus Potential: Up to 25% of base salary, contingent on achieving performance targets.

Location: This is a home-based, remote position in Canada only. Frequent national and international travel is required.

A day in the life of this role:

The Director of Business Development, reporting to the VP of Value Creation and Portfolio Management, is a professional business and commercial manager who takes pride in generating significant business value through creative commercial efforts and thrives in fast-paced, highly ambitious environments.

This role requires a well-connected business development professional with deep mining-industry knowledge, strong transactional expertise, and an ability to drive value creation through partnerships. The role will require responsibility for identifying, evaluating, and aiding the structuring and executing of transactions that align with the Company's business strategy.

The ideal candidate will have a proven track record in business and corporate development, investment banking, private equity, or mining finance, which includes significant exposure to the mining, mining royalty, and streaming sectors.

  • Scale VerAI's Value Generation and Realization, including:
    • Operate within the Company's defined OKRs, guiding new potential partner targets to optimize VerAI's partnership portfolio and value creation strategies.
    • Source, screen, filter, and review value creation and partnership opportunities
    • Identification of counterparties as potential partners
    • Deliver rapid value growth by finding go-to-market opportunities, leveraging VerAI's unique Products and Value Proposition, managing an effective deal flow, and making creative deals.
    • Frame negotiation strategy and develop negotiation envelopes.
    • Work with in-house as well as third party cross-functional teams (geological, technical, legal, executive etc) to ensure transactions progress smoothly with milestones and deadlines being met.
    • Assist in contract drafting and contract closing.
    • Prepare project DCF and other valuation and scenario-based models, manage the due diligence process, undertake risk and fatal flaw analysis, devise deal structures, and prepare and present investment reports and recommendations for deals under consideration for partnership projects.
    • Support Marketing and PR to attract relevant partners.
    • Support the implementation of a business development strategy that enhances the company's market position within the mining and royalty/streaming/asset management sector.
    • Represent the Company on-site visits, in partnerships' committees, in meetings, and at conferences in North America and abroad.
  • Market & Industry Analysis
    • Conduct in-depth research and market analysis to identify emerging trends, competitive dynamics, new target companies/projects
    • Prepare reports and presentations to communicate partnership opportunities to senior management and the Board where applicable.
    • Report business and commercial progress toward Company Objectives by maintaining a dashboard' with the status of live transactions and the deal pipeline.
  • Secondary Responsibilities
    • Support Asset Portfolio Management through administrative activities such as land management, legal considerations, maintaining an up-to-date registry of Company mineral assets, managing asset and portfolio valuations, and more.
    • Support optimizing value from VerAI's asset portfolio, through asset value-related decision-making, such as land package extensions, expansion of existing partnerships to develop additional projects, and more.

Key Working Relationships:

  • Reports to the VP of Value Creation and Portfolio Management.
  • Collaborates and maintains strong relationships with VerAI's partners.
  • Maintains and utilizes a deep network with mining industry counterparties, such as major mining companies, private equity & royalty companies, juniors, and property holders.

What we need from you:

  • Bachelor's degree in Mining Engineering, Geology, Finance, Business Administration, or a related field.
  • Minimum of 10 years of experience in corporate and/or business development, private equity, or mining finance, with a strong focus on mining, royalty, and streaming transactions.
  • Demonstrated success in executing transactions, including due diligence, deal structuring, and negotiations involving companies with a market capitalization>C$50m
  • Deep knowledge of mining operations, project development phases, mineral economics, and commodity markets.
  • Excellent leadership, negotiation, and communication skills with the ability to influence senior stakeholders and investors.
  • Deep understanding of the mining industry, including royalty and streaming models, asset valuation, and project financing.
  • Proven track record identifying and closing new business opportunities in a complex commercial environment
  • Strong senior contact network in the Americas focused on mining companies
  • Others:
    • Demonstrated project management organizational skills, including the creation and implementation of vision & strategy, construction of work plans, and construction and management of budgets.
    • Demonstrated excellent technical written, verbal, and presentation communication skills in English. (Spanish is an advantage)
