The Opportunity

We're looking for a qualified Corporate Counsel & Director of Compliance to join our team. Reporting directly to the CEO and Board, you'll collaborate closely with senior management, including the COO, CFO, and HR Director. Based in Toronto with hybrid work options, this role offers the chance to grow within a mid-sized company, influence key decisions, and provide both legal and strategic input. Your Next Career Move

  • Draft and negotiate IT service, license, SaaS, NDA, and related customer agreements.
  • Advise and support senior management on customer inquiries, contract amendments, compliance, audits, and third-party agreements.
  • Collaborate with the Finance team on onboarding contracts and maintaining legal records while supporting multi-jurisdictional corporate and tax compliance.
  • Manage trademark and IP rights protection in coordination with external counsel.
  • Provide guidance on employment-related matters and assist in updating company policies.
  • Ensure corporate compliance through the drafting and maintenance of corporate agreements and records.
  • Support SOC/ISO audits
  • Work with external legal counsel and tax advisors as necessary.
  • Contribute to sales processes and client relationship management activities.

Does This Sound Like You?

  • Called to the Bar in Ontario, and a member in good standing of the Law Society of Ontario, .
  • Minimum 5 years experience in private legal corporate and commercial law practice as a member of a law firm or as in-house counsel.
  • Demonstrated experience in drafting and negotiating IT and software license agreements.
  • Familiarity with asset-based structured finance concepts and experience with regulated financial institutions is preferred.
