SUMMARY

Reporting to the Chief Executive Officer, the Corporate Counsel will work closely with the CFO and Divisional Heads of three Canadian Divisions and two US Divisions. You will focus on corporate governance, employment law, health and safety, environmental law, real estate matters and resolution of disputes and claims. You bring sound judgment, problem solving and negotiation experience.

EXPECTED CONTRIBUTIONS

• Securities filings and compliance – annual reports, proxy materials for shareholder meetings, and quarterly financial filings
• Acquisitions – negotiations and documentation, due diligence and closings
• Financings – private and public, debt and equity
• Drafting and reviewing commercial agreements for constituent business departments
• Researching legal issues and risks

• Handling employment and labour issues
• Litigation management

Requirements

KNOWLEDGE, SKILLS, AND ABILITIES

• Member in good standing of provincial bar
• Undergraduate degree in business is an asset
• 3 to 6 years experience in corporate commercial and/or securities practice
• Well organized, excellent drafting skills
• Strong understanding of public company legal requirements
• Business and legal experience in wholesale distribution, building materials and forestry will be considered an asset.
• Experience gained from a broad range of commercial transactions.
• Strong communication skills, both verbal and written
• Excellent organizational skills
• Self starter, works well independently or in a team as required

EDUCATION

• Law degree from a recognized institution

• Base salary up to $150,000 annually
