Job Description:

Department Overview:

The Total Rewards team provides leadership and guidance in the development and delivery of effective compensation, retirement and benefits strategies, policies, and programs that support TD Bank business and talent objectives. The Compensation Policy, Governance and Executive Compensation Design team is responsible for compensation policies, board governance, compensation forecasting and reporting, pay equity and program design for the Executive Compensation Plan (ECP) and deferred compensation programs.

Job Description/Accountabilities:

The Senior Manager, Compensation Governance is accountable for leading and overseeing all aspects related to compensation governance, including adherence to regulatory requirements, governance oversight, and compliance with local and global compensation related regulations. The role will:

  • ensure the bank's compensation plans, and policies are designed to comply with all global and local compensation regulations in the jurisdictions in which we operate;

  • lead the development of the Bank's response to compensation-related regulatory requests;

  • oversee the preparation of global regulatory disclosures, reports, and filings;

  • assess program alignment with regulatory requirements or other best practices and recommend policy or plan design changes, as appropriate;

  • support and prepare materials for 5 remuneration committees (currently 12 committee meetings annually providing oversight over 11 jurisdictions);

  • provide advice, research, analysis and support on topics related to governance, disclosure, committee mandate, etc.;

  • lead the annual Compensation Audit;

  • understands and guides others on how the bank's risk appetite is considered as part of daily compensation activities and decisions

  • provide guidance on structuring individual compensation recommendations, in alignment with the bank's policies and in compliance with applicable regulations and requirements; and

  • ensure business strategies and initiatives are executed in compliance with governing regulations, internal policies, and procedures;

Additional Background Information:

  • Since the financial crisis in 2008, regulators have taken an increasing interest in the governance and design of remuneration programs at financial institutions. Regulators around the world have created guidelines or principles for compensation and governance practices and have increased their oversight of financial institutions in this regard.

  • Primary external oversight bodies: OSFI, Financial Stability Board, UK Prudential Regulation Authority (PRA), UK Financial Conduct Authority (FCA), European Banking Authority (EBA).

Specific Educational Requirements/Accreditations:

  • Post-secondary education in the areas or business, economics or human resources.

  • Certified Human Resources Professional (CHRP) and/or Certified Compensation Professional (CCP) designations are considered assets.

Other Qualifications/Skills/Experience

  • At least 10+ years of human resources, executive compensation, capital markets front office compensation or knowledge and/or governance experience.

  • Proven consulting and project management skills, with the ability to successfully manage multiple projects/changing priorities concurrently under tight timelines and with multiple stakeholders all while maintaining strong attention to detail.

  • Excellent written and verbal communication skills, with the ability to translate technical and complex concepts into straightforward and easy to understand information for a variety of stakeholders, including the ability to independently draft regulatory responses.

  • A high level of proficiency with Microsoft Excel, Word and PowerPoint.

  • Highly organized, self-motivated, with a strong attention to detail, and able to work independently as well as part of a team and have well developed skills in negotiating, influencing and multitasking.

  • Superb problem solving, analytical skills with an ability to manage complex and ambiguous concepts, finding actionable and pragmatic solutions.

  • Sees connections in data, events, trends, not obvious to others.

  • Strong business and financial acumen.

  • Strong impact and influencing skills with the ability to persuade others in achieving the best outcomes for the bank.

  • Proactively shares information, best practices and ideas with others, and articulates a compelling vision, purpose and direction that inspires others to follow.

  • Builds a sense of urgency in the team to get results and takes the initiative to find ways to get better results.

  • Looks ahead to reasonably anticipate business opportunities and obstacles.
