The Legal Counsel contributes to the overall success of the Legal Department in Canada ensuring specific individual goals, plans, initiatives are executed / delivered in support of the team's business strategies and objectives. The incumbent is responsible for the provision and co-ordination of legal services and advice to the Bank and subsidiaries with respect to a range of Bank matters or specialized areas of law. Ensures all activities conducted are in compliance with governing regulations, internal policies and procedures.

Is this role right for you? In this role you will:

  • Champion a customer focused culture to deepen client relationships and leverage broader Bank relationships, systems and knowledge.

  • Position is primarily dedicated to providing legal support to the Global Equity Derivative (GED) business.

  • Duties will include but not be limited to:

    • Supporting the development of new structured note products

    • Conducting detailed reviews of structured note offering documents including reviewing closing documents as well as collaborating with members of GED and internal and external legal counsel in connection with both transactional and non-transactional matters

    • Responsible for all note reviews (based on the Legal Pre-Approval Policy)

    • Where offering documents are not automated, responsible for drafting the offering documents for the desk to review or, where external legal engaged, be the point of contact for all communications with external legal

    • Assist with automation and template development as required

    • Responsible for drafting and reviewing any private placement offering documents

    • Responsible for reviewing filings with securities regulators globally and/or drafting and coordinating with external counsel filing on behalf of BNS

    • Responsible for providing legal support for GED trades including the drafting and reviewing of offering documentation and any listing on an exchange, as applicable

    • Initiate new region requests with US BNS Legal and manage communications with external counsel including the review of their opinions

  • Keep abreast of legal and regulatory changes in the markets in which GED operates.

  • Assist the business in the management of external legal expenses.

  • As requested, attend committees including SNIC and Structure Products Committee.

  • Understand how the Bank's risk appetite and risk culture should be considered in day-to-day activities and decisions.

  • Actively pursue effective and efficient operations of his/her respective areas in accordance with Scotiabank's Values, its Code of Conduct and the Global Sales Principles, while ensuring the adequacy, adherence to and effectiveness of day-to-day business controls to meet obligations with respect to operational, compliance, AML/ATF/sanctions and conduct risk.

Do you have the skills that will enable you to succeed? - We'd love to work with you if you have

  • Graduate of a recognized law school with membership in the Law Society of one of the provinces of Canada.

  • 5+ years practical in-house or private practice experience in legal issues related to structured notes (preferred) or structured product or corporate finance/securities experience,

  • The position requires a high level of analytical, human relations and communications skills.

  • Established problem solving and drafting skills.

The incumbent will be involved in handling a significant workload each year, inclusive of inquiries and assignments from various Bank and subsidiary departments. Most of the files involve substantial legal analysis and drafting. As well, numerous verbal questions must also be dealt with.
