TD Legal is a team dedicated to providing legal advice and counsel to all TD business segments (Retail, Wealth, Insurance, Wholesale, Business Banking) as well as the Corporate Functions including Corporate Development, Enterprise Real Estate, Strategic Sourcing, Treasury, Global Anti-Money Laundering and Enterprise Technology & Shared Services. Position Overview:

TD Securities is focused on driving growth to build a Top 10 North American Investment Bank with global reach. As a result of this momentum, we are seeking an experienced and skilled Senior Legal Counsel to join our fantastic legal team.

The role will involve providing crisp legal advice regarding a variety of investment banking and capital markets activities, and providing capital markets transaction support. The role offers an exciting opportunity to work in a fast-paced, collaborative and high-performing environment, handling complex and broad-scope legal matters. You will play a key role in advising on M&A, corporate finance, corporate lending and capital markets transactions, and may also be engaged to apply your legal expertise to novel projects.

The successful candidate is lawyer with experience in Canadian capital markets transactions and securities regulatory matters at a large law firm and/or financial institution. Experience with correspondent lending, trade finance and lending transactions would also be an asset.

Key Responsibilities:

  • Provide legal counsel on investment banking and capital markets transactions, including M&A, corporate finance and corporate lending.
  • Advise on regulatory and compliance matters related to capital markets activities.
  • Draft, review and negotiate transaction document and agreements.
  • Collaborate with internal stakeholders, including business teams and risk management, to ensure legal risks are effectively managed.
  • Stay up to date on legal and regulatory developments impacting investment banking and capital markets.
  • Support other legal matters as required in a dynamic and challenging environment.

Qualifications/Competencies/Accreditation:

  • A minimum of 6 years of legal experience (with additional experience welcome), ideally gained at a large law firm or a mix of private practice and in-house financial institution roles.
  • Strong background in M&A, corporate finance, corporate lending and capital markets transactions and regulatory matters.
  • Strong analytical, problem-solving and decision-making skills.
  • Ability to work effectively in a fast-paced, complex and ever-evolving environment.
  • Excellent communication skills and the ability to provide clear, business-oriented legal advice.
  • Qualified to practice law in a Canadian province or in New York. For New York qualified candidates, expectation is that steps will be taken to become qualified to practice in Ontario.
