As a Senior Corporate Law Clerk at EY Law LLP, you will be instrumental in ensuring the accurate and efficient processing of corporate documents while conducting high-level transactional work. Your expertise will help our firm and clients comply with all legal regulations, providing essential support in corporate governance and transactional matters.
Key Responsibilities:
- Draft and review a wide range of corporate documents related to incorporations, amalgamations, revivals, amendments, dissolutions, continuances, officer certificates, notarial certificates, annual resolutions, and more.
- Analyze and review accountant or lawyer planning memos concerning tax-related corporate reorganizations, preparing document checklists and drafting necessary documentation to implement proposed plans.
- Review purchase agreements and prepare closing agendas, along with the appropriate closing documentation required to complete share and asset purchase transactions and corporate finance transactions.
- Conduct thorough reviews of corporate minute books, preparing summaries of deficiencies and documentation to rectify any issues identified.
- Perform corporate searches and analyze/summarize search results to provide actionable insights.
- Collaborate with Corporate Lawyers to address client inquiries and ensure that all legal documentation meets regulatory standards.
- Maintain up-to-date knowledge of corporate statutes and regulations to provide informed guidance to clients and colleagues.
Qualifications:
- Law Clerk Diploma from an accredited institution.
- 5+ years of experience working within the Corporate Department of a law firm, with extensive transactional experience.
- In-depth knowledge of corporate statutes and regulations, with a proven track record in corporate governance and compliance.
- Excellent organizational and time management skills, with the ability to manage multiple priorities and meet tight deadlines.
- Strong verbal and written communication skills, capable of conveying complex legal concepts clearly and effectively.
- Ability to work independently, following instructions with minimal supervision while demonstrating initiative.
- Detail-oriented mindset with a commitment to accuracy and quality in all work produced.
- Proficiency in using corporate databases and document management systems.
- Strong technical skills in Microsoft Office (Word, Outlook, and Calendar).
- A collaborative team player with excellent interpersonal skills, fostering positive relationships with colleagues and clients alike.
