  • Transactional Work: Lead and execute M&A, joint ventures, and corporate restructuring transactions ($250K–$50M range).
  • Corporate Advisory: Provide legal counsel on corporate structuring, regulatory compliance, and operational matters.
  • Franchise Law: Develop franchise systems for franchisors and manage disclosure; advise franchisees on disclosures, compliance, and franchisor negotiations.
  • Client & Business Development: Cultivate and expand client relationships, leveraging an existing portfolio and new opportunities to drive revenue growth.
  • Leadership & Mentorship: Guide and mentor junior lawyers, fostering professional development and knowledge sharing.
  • Contract & Document Management: Draft, review, and negotiate corporate agreements, ensuring risk mitigation and compliance.
  • Due Diligence: Conduct legal due diligence for transactions, identifying potential risks and liabilities.
  • Regulatory Compliance: Ensure adherence to domestic and international corporate laws, addressing jurisdictional challenges.
  • Strategic Counsel: Partner with clients to align legal strategies with business goals.

Requirements
  • 8+ years in corporate and/or franchise law with a strong transactional background.
  • Proven track record with deal sizes ranging from $250K to $50M.
  • A partial or full book of business is a strong asset.
  • Proven ability to mentor, supervise, and inspire junior legal professionals.
  • Exceptional verbal and written communication skills.
  • Ability to navigate complex legal matters with precision and strategy.
