Corporate Secretary
Are you a highly organized, detail-oriented professional with a passion for corporate governance? Claystone Waste Ltd. is looking for a Corporate Secretary to join our team! If you thrive in a dynamic environment and enjoy working closely with senior leadership, this is the perfect opportunity for you. This key individual will support the Board of Directors, Committees, senior management, and Shareholder meetings. You will manage the coordination and documentation flow for meetings and serve as a liaison between corporate directors and the company. This role will be based in Edmonton in our Corporate HQ, with the expectation for a few days each month operating from Ryley for BOD/leadership activities as well as taking part in infrequent travel for corporate board retreats (June in 2025).

What You'll Do:
Corporate Governance & Coordination:
Coordinate and organize meetings for the Board of Directors and its Committees, including meetings for minority interests.
Organize Shareholder meetings, including the Annual General Meeting and special meetings with the Shareholder Proxy Committee.
Documentation & Communication:
Collect, review, proofread, and ensure the accuracy of meeting-related materials for Directors, Committee members, senior management, and advisory guests.
Prepare minutes, record decisions, create follow-up action lists, and ensure proper filing of meeting documents.
Administrative Support:
Provide executive administrative support to the CEO
Provide administrative support to the CEO, corporate Directors, and senior management, including coordination with the Human Resources department for remuneration, expenses, and travel bookings.
Maintain corporate records and documents, including incorporation documents, agreements, and government regulatory filings.
Research & Reporting:
Conduct research on emerging issues in corporate governance and make recommendations to improve governance practices.
Prepare advisory recommendations on policies, processes, and best practices.
What We're Looking For:
Experience:
2-3 years of professional experience in corporate governance, administrative support, or a related field.
Qualifications:
Bachelor's degree in Political Science, Business, Economics, or a related field. A paralegal designation could be an asset.
Governance designation (e.g., GPC.D, ICD.D) is an asset and preferred as a current designation but must be obtained during employment.
Experience supporting Board of Directors or Executive Committees is a plus.
Skills:
Strong organizational skills with exceptional attention to detail.
Excellent communication (both written and verbal) and interpersonal skills.
Ability to handle confidential information with discretion and professionalism.
Technology Skills:
Proficient in Microsoft Office (Word, Excel, PowerPoint), Teams, SharePoint and other office related software.
Experience with Diligent Board Books and Adobe is an asset.
