The Corporate Paralegal is a key professional that coordinates and provides legal and administrative support for all facets of the Company's legal workstreams and supports with various corporate communication and governance tasks. This role conducts research, drafts documents and board resolutions, coordinates and tracks contract reviews, and maintains a relationship with each of the external legal firms. This role is also responsible for coordinating and facilitating various corporate communications, quarterly board meeting materials, and associated administrative processes as assigned.

Duties and Responsibilities:Legal Operations
  • Develop and maintain a database of contract templates, forms, and precedents to ensure legal documents are current and easily accessible
  • Serve as the primary point of contact for all DIRTT legal matters, including liaising with third-party law firms, tracking legal matters, and reviewing invoices.
  • Manage the administration of DIRTT's equity plans.
  • Oversee all EDGAR, SEDAR, SEDI, and TSX filings.
  • Manage insider trading blackout notifications.
  • Assist in reviewing, negotiating, and drafting NDAs and vendor agreements.
  • Contribute to the drafting of the Management Proxy Circular and all related materials.
  • Audit internal legal precedents and templates for updates.
  • Track and manage intellectual property internally, including filing fees, and collaborate with external counsel to address inquiries.
  • Conduct first reviews of contracts, subpoenas, and litigation matters, including employment issues.
  • Maintain an organized paper or electronic filing system for corporate, governance, and legal documents.
  • Collaborate with internal stakeholders to prepare correspondence, contracts, and other legal documents.
  • Perform preliminary research on legal and regulatory compliance requirements.
  • Provide training in commercial areas to streamline contract processes, approvals, and sign-offs.
  • Assist in risk management initiatives, such as compliance audits and maintaining the company's risk register.

Board of Directors Support

  • Coordinating the quarterly board meeting agenda, preparing documentation, taking minutes, and facilitating any associated administrative requirements (e.g., board travel, meeting venues and meals/entertainment) with the Chairman of the Board or Board Members.
  • Collaborating, draft and review corporate governance documentation for the Board.
  • Staying abreast of corporate governance “best practices”.
Immigration
  • Assist internal and external stakeholders with immigration matters as required, including work permit tracking, visa preparation, business travel or invitation letters, etc.
Job Requirements:
  • Minimum of ten years paralegal experience is required.
  • Experience in filings to comply with securities law in the US and Canada. corporate communications is required.
  • Strong organizational skills and meticulous attention to detail.
  • Excellent written and verbal communication skills.
  • Adept at performing clerical and administrative functions and organizing deliverables.
  • Can multitask effectively and manage multiple deadlines while maintaining work quality.
  • Possess excellent collaboration skills and can function in a fast-paced work environment.
  • Analytical thinker with strong conceptual and research skills.
  • This role is on-site and requires the employee to be present in the office.
