To be considered for this position, you must reside in Toronto, ON, CA.
Compensation:$70,000 - $85,000 yearly
Responsibilities:Our passion lies in fostering learning and development, but currently, we're in search of a Business/Franchise Paralegal with a minimum of 3+ years of experience in traditional businesses, franchisees, franchisors, asset and share purchase transactions, and a diverse array of general business services, including commercial contracts, leasing arrangements, and shareholders agreements. We're seeking an ideal candidate who can proactively handle tasks and work independently, minimizing the need for constant guidance.
Your job responsibilities will include:
- Holding client meetings and providing strategic legal and business advice… and sometimes even life advice!
- Drafting legal contracts, agreements, correspondences, letters, and other documents while taking each client's personal and professional goals and priorities into consideration (yes, we make an individualized Action Plan for each and every client).
- Organizing and coordinating corporate filings and entity registrations, including annual reports, good standings, general filings, and other corporate records management to ensure compliance with corporate laws.
- Prepare documentation for M&A and franchise transactions, including drafting key transactional documents and ancillary agreements, tracking the status of negotiations, preparing summaries of key terms, and assisting with closing and post-closing matters.
- Assisting with negotiating the best possible outcome in business/franchise transactions and contentious contracts.
- Following up with clients on a regular basis to proactively check in on their business, their contract, their new hire, their transaction, etc.
- Managing and updating our precedent database with new types of contracts and new types of custom-drafted clauses.
The position is virtual, with the possibility of hybrid in-person at some point in the future. Salary is expected to be $70,000 – $85,000, commensurate with experience and workload. There is an opportunity to earn more based on experience, or if you advance to a more senior position, and bonus compensation for those who can demonstrate their profitability as well.

Minimum Requirements:

- You are a licensed paralegal in Ontario.
- You have experience being a corporate, franchise, or transactional paralegal.
- You have 3+ years of business, franchise, or commercial transactional experience in Ontario.

- Be able to effectively manage multiple clients and matters.
- Possess strong writing skills.
- Possess strong oral advocacy skills.
- Have familiarity with, or willingness to learn how to use Microsoft computers.
- Have a clean record concerning malpractice judgments or bar grievance determinations.
