The Role

We are seeking Senior Contract Specialist in our Ottawa, Ontario office to cover an 18-month Maternity Leave to join our growing company. There is a potential that this position could be extended or made permanent.

Key Responsibilities

• Negotiate and draft commercial agreements, such as master software and services agreement, partnership and vendor agreements, NDAs, and terms of use;
• Review and help with responding to requests for proposal (“RFP”);
• Provide support to management and other departmental groups in order to develop legal strategies and solutions;
• Help identify legal and other risks regarding different company initiatives;
• Research and advise on a variety of areas of law including, intellectual property, labour and employment, compliance, corporate governance
• Provide assistance with other legal department/company projects from time to time.

Desired Qualifications and Experiences

• Business degree, law degree or other similar degree.
• At least 3-5 years' experience drafting and negotiating transactional documents in the software industry, license agreements, Software as a Service and Cloud agreements, commercial agreements, master services agreements, non-disclosure and confidentiality agreements, novation and assignment agreements, terms of use, letters of intent, and MOUs.
• Experience working with customers located in the United States.
• Ability to comprehend and investigate vague problems, propose innovative solutions, and execute them efficiently.
• Experience working with government bodies and public safety agencies.
• Efficient, effective, well organized, and able to prioritize and manage multiple projects.
