SUMMARY
Reporting to the Corporate Counsel, the Corporate Paralegal will manage and maintain physical and electronic corporate records and compliance and related reports. The role will assist with contract management: review and analyze contracts, prepare comments and redlines in contracts, and oversee the administration and management of contracts. The Corporate Paralegal will provide general support to the legal team as required.
EXPECTED CONTRIBUTIONS
Corporate
- Conduct due diligence minute book reviews, identify deficiencies, and rectify issues.
- Assist in preparing information circulars, AGM materials, annual information forms, treasury orders, stock option/RSU certificates, SEDI filings, and director consent resolutions.
- Ensure that the Board has the resources to fulfill its fiduciary duties to a company's shareholders.
- Respond to requests for information and documentation.
- Assist in preparing disclosure documents.
- Prepare minutes of board actions during board and committee meetings to reflect the Board's proper discharge of its fiduciary duties.
- Prepare and post all materials (notices, agendas, minutes) for the meetings of the Board or any of its committees, identifying matters for discussion, consent, and approval, all in a timely and consistent manner.
- Ensure that action items arising from Board meetings, Board Committee meetings, and Board meetings with stakeholder groups and committees are recorded, assigned to the appropriate advisor, monitored, completed within set timelines, and brought to the Board, committee, or group where required.
- Ensure that the corporate governance framework for the company is properly designed, implemented, and maintained.
- Liaise with auditors, lawyers, tax advisers, bankers, and shareholders on board governance issues as requested by general counsel.
- Ensure compliance obligations under relevant laws and the requirements of regulatory authorities are met (e.g., stock exchange).
- Perform general legal services.
Securities
- Prepare annual reports and corresponding resolutions and complete annual filings with BC Corporate Registry, Corporations Canada, and other jurisdictions as needed.
- Prepare BC registry filings and resolutions to change directors, officers & addresses.
- Draft documents relating to incorporations, organizations, amalgamations, amendments/alterations, rollovers, redemptions, dividends, continuances, dissolutions, revivals, extra-provincial registrations across Canada, licenses, limited partnerships, and business names.
Requirements
KNOWLEDGE, SKILLS, AND ABILITIES
- Five or more years of experience in a law firm or within a corporate legal group
- Strong computer skills; very comfortable with Microsoft Office
- Excellent interpersonal skills
- Excellent time management skills, and prioritization skills
- Excellent critical thinking and problem-solving skills
- Strong communication skills
EDUCATION
- Paralegal diploma or university degree
