The Role
Reporting directly to the President and CEO, the General Counsel and Corporate Secretary will serve as a key advisor on legal, governance, and risk compliance issues, ensuring alignment with business objectives. This position demands an experienced legal professional with extensive expertise in the mining industry, corporate and securities law, and governance within a public company environment.
The Company
Torex Gold is an intermediate gold producer based in Canada, engaged in the exploration, development, and operation of its 100% owned Morelos Property, an area of 29,000 hectares in the highly prospective Guerrero Gold Belt located 180 kilometres southwest of Mexico City. The Company's principal asset is the Morelos Complex, which includes the El Limón Guajes ("ELG") Mine Complex, the Media Luna Mine, the EPO Project, a processing plant, and related infrastructure. Production from the Morelos Complex commenced in 2016, and an updated Technical Report for the Morelos Complex was released in March 2022.

What We're Looking For:
Education:
- Law degree from a recognized institution.
- Member in good standing of the Law Society of Ontario.
Experience:
- 15+ years of legal experience as in-house counsel within the mining sector or in private practice advising mining clients.
- Extensive knowledge of Canadian corporate and securities law and regulatory compliance for public companies.
- Proven leadership experience, advising executive teams and boards on legal matters.
- Strong background in M&A transactions, high-value contract negotiations, and governance best practices.
Skills:
- Ability to manage legal risk and provide strategic business insights.
- Strong negotiation and stakeholder management skills.
- Ability to manage complex, multi-jurisdictional transactions.
- Excellent communication and problem-solving skills.

Key Accountabilities
Board Work and Support to Executive Team
- Advise the Board and Executive Team on corporate governance, legal matters, and regulatory compliance.
- Ensure governance standards are met, including the preparation of Board agendas, shareholder meetings, and public disclosure documents.
- Provide strategic legal insights to support high-impact business decisions.
- Support the Disclosure Committee in reviewing and approving external disclosures related to financial reporting, governance, and corporate communications.
- Ensure that disclosure documents comply with all legal and regulatory requirements to maintain transparency and protect shareholder interests.
Contract Management
- Oversee contract development, negotiation, and compliance with governance standards.
- Manage high-value contracts, including confidentiality agreements and intellectual property protections.
- Ensure contract processes align with business objectives and mitigate legal risks.
Lead Legal Support for Organizational Transactions and Litigation Matters
- Provide legal counsel on mergers and acquisitions, debt/equity transactions, and financial agreements.
- Oversee litigation matters, regulatory investigations, and intercompany agreements.
- Support executive leadership in managing legal risks related to major business initiatives.
Strategy and Risk
- Identify legal, regulatory, and compliance risks, implementing mitigation strategies.
- Advise on corporate risk management, ethics, and internal investigations.
- Ensure compliance with evolving legal and regulatory requirements.
Other Duties
- Drive continuous improvement in legal processes and governance frameworks.
- Oversee external counsel and legal budget management.
- Provide legal leadership on various corporate initiatives.
